1. Terms and Conditions

1.1This Platform has been created by Wyzetalk (Pty) Ltd (“the Company”) and is a communications application that enables company leadership and employees (who) to communicate and share with each other (what).

1.2To use this Wyzetalk for Wyzetalk (“Platform”), you agree to these Platform terms of use (“Terms of Use”), the terms and conditions set out in your employment contract and the Company's employment manual, as well as all other applicable terms and policies. By agreeing to access information on your own device, you agree to take responsibility for the security of your device and the information you access.

1.3By accessing and utilising this Platform, you further acknowledge and agree to be bound by the following terms of use (“Terms of Use”), which shall serve as the governing agreement between you and the Company with respect to your use of the Platform.

1.4The commencement of these Terms of Use shall coincide with either your acceptance of the terms or initial access or use of the Platform and shall remain in effect until such time as you cease accessing or using the Platform, unless terminated earlier in accordance with the provisions set forth herein.

1.5The Company reserves the right to terminate your access to this Platform if you violate any of these terms contained herein or engage in any unauthorised use of the Content and/or Platform.

2. Use of Content

2.1Unless otherwise indicated, you are authorised to view and access various forms of content, including but not limited to text, graphics, images, audio, video, software, and other materials (“Content”). You understand and acknowledge that the Content is provided solely for your personal and non-commercial use, and you agree to abide by all copyright and other proprietary notices contained in the Contents.

2.2You agree not to modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell or re-sell any Content or information obtained from or through this Platform. Furthermore, you agree not to use the Content in a manner that would infringe upon or violate the rights of any other party or that would otherwise be unlawful or prohibited by applicable laws and regulations.

3. Security

3.1Your use of the Platform is protected by a Personal Identification Number (“PIN”) that is only known to you. To ensure the security of your use of the Platform, you acknowledge and agree to take reasonable measures to protect the confidentiality and security of your PIN. You shall be solely responsible for all actions taken on the Platform through the use of your account and PIN, and you agree to notify the Company immediately if you become aware of any unauthorised use of your account or any breach of security, including but not limited to the loss or theft of your PIN.

3.2You understand and acknowledge that the Company shall not be responsible for any loss or damage arising from any unauthorised use of your account or breach of security. You further agree to cooperate with the Company in any investigation related to any unauthorised use of your account or breach of security.

3.3You agree to comply with all security measures and protocols implemented by the Company to protect the Platform and your account, including but not limited to using strong passwords, enabling two-factor authentication, and regularly updating your PIN and other security information.

3.4The Company reserves the right to suspend or terminate your access to the Platform if it reasonably believes that your account or PIN has been compromised or if you fail to comply with any security measures or protocols implemented by the Company.

4. Intellectual Property Rights

4.1This Platform and its Contents are protected by copyright, trademark, and other intellectual property laws of the Republic of South Africa and/or foreign countries and owned and/or licensed to Company.

4.2Provided that you comply with these Terms of Use and all other applicable terms and policies, the Company grants you a limited, non-exclusive, non-sublicensable, non-transferable, and non-assignable license to access and use the Platform for your own personal and internal business purposes, and not for resale, distribution, or any other commercial purposes.

4.3You acknowledge and agree that the Platform, including any updates, modifications, and improvements thereto, are the property of the Company and are protected by applicable intellectual property laws and regulations. Except as expressly licensed herein, you shall not use, access, integrate with, modify, translate, create derivative works of, reverse engineer, or otherwise exploit the Platform or any aspect thereof, without the prior written consent of the Company.

4.4The Company reserves all rights, title, and interest in and to the Platform, including without limitation all intellectual property rights, and any rights not expressly granted herein are reserved by the Company. You acknowledge and agree that you shall not acquire any ownership or proprietary interest in the Platform or any aspect thereof, except as expressly provided herein.

4.5Furthermore, you agree not to copy, reproduce, modify, distribute, display, perform, publish, license, sell, or exploit any content or information obtained from or through the Platform, except as expressly authorised by the Company.

4.6The Company reserves the right to suspend or terminate your access to the Platform in the event of any violation of these Terms of Use or any other applicable terms and policies. The Company also reserves the right to modify, update, or discontinue the Platform or any aspect thereof at any time, without prior notice to you.

5. Privacy Statement

5.1The Company is committed to protecting your privacy and personal information. By accessing or using this Platform, you agree to be bound by the Company's Privacy Statement, which sets out the types of personal information we collect, how we use it, and the circumstances under which we may disclose it to third parties.

5.2The Privacy Statement is incorporated into these Terms of Use by reference and forms part of your agreement with the Company. You acknowledge and agree that the Company may collect, use and disclose your personal information in accordance with the Privacy Statement, as it may be amended from time to time.

5.3You agree to review the Privacy Statement periodically to ensure that you are aware of any changes or updates. Your continued use of the Platform after any such changes or updates shall constitute your acceptance of the revised Privacy Statement. The Company shall take reasonable measure to protect the confidentiality and security of your personal information in accordance with applicable laws and regulations. By continuing to use Platform, you consent to the Company collecting, using, storing and processing your personal information. Such personal information shall be collected, used, stored or processed in compliance with the Protection of Personal Information Act 2020 ("POPIA").

5.4However, you acknowledge and agree that no security measures are 100% effective or impenetrable, and the Company cannot guarantee the security of your personal information or the privacy of your communications while using the Platform.

5.5You acknowledge and agree that the Company may use cookies and other tracking technologies to improve the functionality of the Platform and enhance your user experience. You may opt-out of certain cookies and tracking technologies by adjusting your browser settings, but doing so may affect the functionality of the Platform.

6. Liability

6.1Your use of the Platform is entirely at your own risk. The Platform and all its Contents are provided “as is”, without any express or implied warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform or its contents will be accurate, reliable, uninterrupted, or error-free, nor do we guarantee the results that may be obtained from the use of the Platform or its Contents.

6.2By using the Platform, you acknowledge that we will not be held liable for any loss, damages, or other harm that you may incur as a result of your use of the Platform or its content. This includes but is not limited to any direct, indirect, special, or consequential damages.

7. General

7.1We reserve the right to amend these Terms of Use at any time. Your continued use of or access to the Platform after any such amendment will constitute your binding agreement to these Terms as amended.
