ACCEPTANCE OF THE TERMS OF USE BY USER

I, confirm that when logging onto and using the Platform, that I have considered, understand, accept and undertake to comply with the BIDVEST CommUnity Platform Terms and Conditions, which read as follows:

1. LOGIN TERMS AND USER ACCESS CREDENTIALS

1.1 My access details shall be deemed to have been inserted and/or used by myself personally and by no other person, unless the contrary is proved by myself.

1.2 I will not register or attempt to register any other User on the Platform.

1.3 I will keep my User access credentials including my password confidential and secure, and will not allow any person to access the Platform using my User access credentials, password or my device, including any other Bidvest employee and accept all responsibility for all activities that occur under my User access details.

1.4 I will take responsibility for the security of my device which is used to access the Platform and the security of the information I access, upload, post or store when using the Platform.

1.5 If I have forgotten my password or if my password has been compromised, I will immediately change it, acknowledging that Bidvest will not be liable for any loss which I or any other party including Bidvest, may suffer as a result of my password being compromised.

2. USE OF THE PLATFORM BY USER AND ASSUMPTION OF RISK

2.1 In addition to these CommUnity Platform Terms and Conditions, the use of the Platform is further subject to the Bidvest Policies and Procedures, as may be amended from time to time.

2.2 Bidvest does not guarantee the operation of the Platform or the accuracy, reliability and/or security of the information, content, tools or materials housed, contained on or uploaded to the Platform, nor does it provide any warranties, whether express or implied with regards to the accuracy, reliability and/or security of the Platform and the contents housed thereon, and following these express disclaimers I accept that Bidvest does not accept liability for any loss which I or any other party may suffer as a result of the use of the Platform or the contents contained therein.

2.3 I acknowledge that whilst Bidvest has in place reasonable commercial standards of technology and operational security to protect all information, including personal information which may be housed on the Platform, including information provided by other Users, from unlawful or unauthorised access and use, loss, misuse, alteration or destruction, I accept that the Platform and its contents are provided by Bidvest on an “as is” basis and that the use of the Platform is entirely at my and other Users’ own risk.

2.4 Notwithstanding that Bidvest is committed to maintaining the privacy and security of the information, including personal information, housed, used or submitted through the Platform, Bidvest cautions that information transmitted through the internet, or which is subject to electronic or digital storage is potentially subject to risks of unlawful or unauthorised access, use or monitoring and following this advises that it cannot guarantee absolute security.

2.5 I accept that as the User of the Platform, I am solely responsible for ensuring that the necessary security safeguards and standards, as laid down by Bidvest from time to time, including those housed under its IT Policies and Procedures, are noted, applied and complied with in respect of the use of this Platform and in respect of the use of any device which I use in order to access this Platform, including my mobile device and I indemnify Bidvest against all and any loss which it or any other party may incur as a result of a breach by myself of this undertaking.

3. CONTENT ON THE PLATFORM

3.1 I acknowledge that I have no intellectual property rights to any of the information and material housed or uploaded to the Platform and that all information housed, uploaded or contained on the Platform, notwithstanding that it may be uploaded and provided by myself, a Bidvest employee, or another, is the commercial and proprietary information of Bidvest, whether protected by copyright, trademark, or other intellectual property laws of South Africa and/or foreign countries, or otherwise.

3.2 When accessing the Platform, I acknowledge that where I download or use any of the information and material housed thereon, that such use

3.2.1 may only be in the best interests of Bidvest; and

3.2.2 is strictly limited to informational and non-commercial usage purposes.

3.3 I acknowledge that I am not allowed to copy any software, proprietary processes, or technology embodied or described in the Platform, unless I have obtained permission from Bidvest in writing.

3.4 Bidvest reserves the right, from time to time, and without notice or liability to amend the content available on the Platform; to withdraw or amend the goods and/services offered or referred to on the Platform, to restrict access to some parts, or to the entire Platform, and/or to refuse to provide any services/products.

3.5 OPT-IN / OPT-OUT:

• The Platform may from time to time, contain direct marketing material in respect of Bidvest employee discounts, specials and promotions as offered by Bidvest and/or Bidvest business partners.

• I acknowledge that once I have opted-in to receiving any direct marketing communications (receipt thereof may be through sms/notifications) I can choose to opt-out at any time. I can also choose to “delete” the account, and remove myself from the Platform at any time.

4. USER CONTENT

4.1 All Users expressly acknowledge that the interactive areas of the Platform allow Users to connect with each other and to share information amongst other Users as a community within Bidvest.

4.2 I understand as a User, that certain information and content which I chose to post may be displayed publicly and that I as a User am solely responsible for the use of the Platform and agree to the use the interactive areas of the Platform at my own risk, acknowledging that Bidvest does not assume any liability for any User content posted or stored or uploaded by any User, nor will Bidvest be liable for any User conduct, mistakes, defamation, slander, omissions or profanity encountered on the Platform. Bidvest shall use its sole discretion to enforce these terms at any time, remove, screen or edit any User content posted on the Platform at any time.

4.3 If any User content violates these terms kindly flag it and report it to info@bidvest.co.za immediately.

5. USE OF PERSONAL INFORMATION AND COOKIES

5.1 In order to provide you with access to and the use of the Platform, Bidvest will have to process your personal information which information will include your name, employee number, the Bidvest division, company or subsidiary where you are employed, your contact details and other related personal identifiers.

5.2 By accessing the Platform, you give Bidvest permission to process your personal information, subject always to your rights to opt-out, object to, or query the use of your personal information as per the provisions of the Protection of Personal Information Act of 2013 (POPIA), which rights are set out under the Bidvest Website, and which may be exercised by accessing the hyperlink https://www.bidvest.co.za/pdf/home/data-protection/internal-processing-notice.pdf and completing the applicable form as prescribed under POPIA.

5.3 If you do not want to receive any promotional offers, discounts and marketing communications, you may at any time opt out of such communications which can be done by making use of the opt out option referred to under such communications.

5.4 In order to optimise your use of the Platform, we make use of cookies, which profiles how you make use of the Platform, which cookies may be varied and/or cancelled at your option by making use of the Cookies opt-out button which appears when you first access the Platform.

6. BREACH AND DENIAL OF THE USE OF THE PLATFORM

6.1 Should you breach these terms and conditions, Bidvest reserves the right to limit, disconnect or terminate the use by you of the Platform, which will be in addition to the right to claim from you, all and any direct and/or indirect damages, losses, and/or expenses, which Bidvest or another may incur as a result of this misuse or abuse, which acts without detracting from the generality thereof, may include:

• pretending to be another person when attempting to gain access to the Platform;

• allowing another, using your credentials to access the Platform;

• transmitting material that violates or has the potential to violate the rights of Bidvest, Bidvest employees, the Users or others including another’s intellectual property rights, rights to privacy or security rights;

• using interactive services that potentially or actually harm Bidvest, Bidvest employees, the Users or third parties; or

• using the Platform in such a manner that gives rise to a security or other risks.

7. COSTS RELATED TO THE USE OF THE PLATFORM

All costs in respect of the use of the Platform by the User will be borne by Bidvest, including all data charges in South Africa, which will be reversed charged back to Bidvest.

8. CHANGES

Bidvest reserves the right to amend these terms and conditions at any time, for any reason, and without notice, other than the posting of the updated terms and conditions on the Platform, which will be visible and accessible when accessing the Platform.
